    HISTORY.
    The Kansas City Belt Railway Company was organized March 13, 1886, under the laws of Missouri, article 2, chapter 21, Revised Statutes of 1879, and the laws of Kansas, article 2, chapter 84, Dassler?s Compiled Laws. It is a consolidated company, formed March 13, 1886, by consolidation of the Kansas City Belt Railway Company, a corporation organized under the general laws of Missouri June 27, 1882, with the Kansas City Belt Railroad Company, a corporation organized under the general laws of Kansas March 25, 1885; said consolidation being carried out in conformity with the general laws of the states of Missouri and Kansas.
    The entire capital stock of the Kansas City Belt Railway Company was acquired by the Kansas City Terminal Railway Company, and the property transferred by deed March 1, 1910. The business reported by this company is therefore that of the eight months of the fiscal year ending February 28, 1910.
    An agreement of sale of all the assets of the Kansas City Belt Railway Company to the proposed stockholders of the Kansas City Terminal Railway Company was made under date of March 31, 1906, on the basis of 3.27 per share for the 5500 outstanding shares of stock of the Belt Railway Company, with interest from the date of deposit of the stock certificates in escrow at five per cent per annum to the time when the Terminal Company should obtain a franchise for the construction of a union passenger station and terminals and secure contracts for their use from the proposed tenant railroads; the Terminal Company to assume all liabilities outstanding at the date of transfer. The price per share is the book value, viz.:
    Equal to 5500 shares of stock at 3.27.
    The sale was ratified by the stockholders of the Kansas City Belt Railway Company and the purchase by the stockholders of the Kansas City Terminal Railway Company February 23, 1910. A deed of conveyance was made March 1, 1910.
